  • Independently draft, review, negotiate and manage a broad range of research-related agreements, including clinical trial agreements, data transfer agreements, confidentiality agreements, collaboration agreements, grant agreements, service agreements and material transfer agreements
  • Negotiate contractual terms and conditions, including financial arrangements, indemnities, intellectual property rights, publication clauses and data ownership
  • Identify legal, financial and operational risks within contracts and recommend mitigation strategies that protect the institution while facilitating research progress
  • Provide ongoing administrative oversight of agreements, including status updates, amendments, renewals and compliance follow-up
  • Ensure all agreements comply with Osler’s institutional policies, ethical standards, applicable legislation and funding agency requirements
  • Serve as the first point of contact for research contract-related inquiries and provide expert guidance to internal teams, researchers and stakeholders
  • Liaise with key groups, such as the Research Ethics Board, research financial services, research managers, principal investigators and senior management, on contract terms and decision-making
  • Liaise with research managers on contract budgets and support budget negotiations as needed
  • Execute agreements and ensure proper document storage and retention
  • Acquires and maintains up-to-date knowledge of hospital’s policies and procedures applicable to industry sponsored clinical research and other academic and professional standards for the conduct and administration of industry-sponsored clinical research
  • Support the implementation of ORIHI’s strategic plan by contributing to the development of core research policies, commercialization strategies and research centre frameworks
  • Develop and refine SOPs, contract templates, decision-making tools and guidance documents to enhance research contract management
  • Track contract workflows using appropriate systems; maintain accurate records and ensure timely reporting to internal stakeholders
  • Maintains databases in support of the contract team
  • Transfers data onto online reporting system and/or spreadsheets
  • Compiles and distributes periodic reports and other information, as needed

Qualifications

  • At minimum, a law degree or paralegal background with related experience or a Master’s degree or recognized equivalent
  • Minimum five years practical and related experience with at least three to five years of experience drafting, interpreting and negotiating agreements including clinical trial agreements, data transfer agreements, confidentiality agreements, etc. is preferred
  • Familiarity with legislation governing human research and knowledge of Canadian, USA and international guidelines as they apply to clinical trial management (e.g. FDA and Health Canada regulations, good clinical practices, Tri-Council Policy Statement, Personal Health Information Protection Act, etc.)
  • Demonstrated ability to set priorities among competing and shifting demands with frequent interruptions
  • Must be highly organized and able to work independently to meet tight deadlines without sacrificing accuracy, customer service, collegiality or ethics
